Item 5.02 Departure of Directors or Certain Officers

On April 2, 2024, Stephen Markscheid, the director (the “Director”) of Cenntro Inc. (the “Company”), notified the Board of Directors of the Company (the “Board”) of his decision to resign his position on the Board of the Company, effective immediately. Mr. Markscheid’s decision was not the result of any disagreement between Mr. Markscheid and the Company on any matters relating to the Company’s operations, policies or practices.
