Item 8.01 Other Events.
As previously reported, on January 24, 2020, Gordon Pointe Acquisition Corp. (the “Company”) amended its amended and restated certificate of incorporation to further extend the date by which the Company must consummate its initial business combination from January 29, 2020 to February 29, 2020, plus an option by the Company to extend such date for an additional thirty days to March 30, 2020. Also as previously reported, on September 16, 2019, the Company entered into a definitive merger agreement with HOF Village, LLC (“HOFV”) for a proposed business combination.
On February 27, 2020, the Company elected to further extend the deadline to consummate its proposed business combination for the additional 30-day period. In connection with such 30-day extension, the Company’s sponsor contributed to the Company $0.033 for each of the Company’s public shares outstanding, for an aggregate contribution of $265,403.69, which amount was deposited into the Company’s trust account established in connection with the Company’s initial public offering. The Company now has until March 30, 2020 to consummate its proposed business combination.
Additional Information
The proposed transaction will be submitted to shareholders of the Company for their approval. In connection with the proposed business combination, the Company has filed with the SEC a proxy statement and GPAQ Acquisition Holdings, Inc., a wholly-owned subsidiary of the Company (“Holdings”), has filed a registration statement on Form S-4, which includes a definitive proxy statement/final prospectus, which registration statement was declared effective on February 14, 2020, which definitive proxy statement will be mailed to stockholders of the Company on or about February 27, 2020. Before making any voting or investment decision, shareholders of the Company are urged to carefully read the definitive proxy statement/final prospectus and any other relevant documents filed with the SEC, as well as any amendments or supplements to these documents, because they will contain important information about the Company, Holdings, HOFV and the proposed business combination.
