1. As previously reported, as compensation for service on the board of directors of the Company as an independent, outside director, the Reporting Person received an award of restricted stock units. Such time-based restricted stock units converted on a one-for-one basis.

2. On March 9, 2019, the Reporting Person was granted 201,439 time-based restricted stock units, scheduled to vest, if at all, on March 1, 2020. Such time-based restricted stock units converted on a one-for-one basis.
