Explanation of Responses:

1. Represents shares of common stock issuable upon the settlement of restricted stock units ("RSUs"). 25% of the RSUs will vest on each May 27th and November 27th of 2024 and 2025, subject to acceleration and vesting in full upon a Change in Control (as defined in the Issuer's 2019 Equity Incentive Plan) of the Issuer, and subject to the continuing employment of the Reporting Person on each vesting date.
