Mr. Harrington, an executive of Kohlberg Kravis Roberts & Co. L.P. ("KKR") and/or one or more of its affiliates, is a member of the board of directors of WMIH Corp. (the "Issuer"). Certain affiliates of KKR have made separate Section 16 filings reporting securities of the Issuer that they may be deemed to beneficially own. Mr. Harrington disclaims beneficial ownership of any securities of the Issuer that may be deemed to be beneficially owned by affiliates of KKR.
