Explanation of Responses:

1. The reporting person acquired the shares of NeuroOne Medical Technologies Corporation ("NMTC") on July 20, 2017, in exchange for shares of the common stock of NeuroOne, Inc. ("NeuroOne"), pursuant to the Agreement and Plan of Merger and Reorganization, dated as of July 20, 2017, between NMTC, OSOK Acquisition Company and NeuroOne, pursuant to which NeuroOne became a wholly-owned subsidiary of NMTC. Per the terms of the Merger Agreement, each share of NeuroOne common stock was converted into the right to receive 17.0103706 shares of NMTC common stock.
