Explanation of Responses:

1. Reflects shares of stock issued to the Reporting Person on September 23, 2021 as earnout consideration paid to the owners of our former external manager. The price of shares issued is based upon the contractually agreed price per share in the merger agreement. The Reporting Person's right to receive the additional shares as earnout consideration became fixed and irrevocable on February 7, 2020, the effective date of the internalization of our former external manager under the terms of the merger agreement.

2. This amount includes 38,946 shares of unvested restricted stock.

3. The reported shares are owned jointly with the reporting person's spouse, with respect to which the reporting person shares voting and investment power.
