| 1. The Market Share Units were awarded to the reporting person as compensation for services as an officer under the CONSOL Energy Inc. 2020 Omnibus Performance Incentive Plan. The Market Share Units vest in three annual installments on each of December 31, 2021, December 31, 2022, and December 31, 2023 based on the performance of the Company's common stock price, subject to the terms of the award agreement. |
| 2. Each Market Share Unit reported herein represents the right to receive upon vesting, a cash payment equal to the number of units awarded on the grant date representing a fixed value based on the closing price of the Company's common stock on February 9, 2021, multiplied by a quotient of (x) the average closing stock price of the Company's common stock for the 15 trading days immediately before the vesting date by (y) the average closing stock price of the Company's common stock for the 15 trading days immediately before the grant date. The Incentive Units expire immediately following their vesting. |
