Item 8.01 Other Events

On August 19, 2019, Westar issued $300,000,000 aggregate principal amount of its First Mortgage Bonds, 3.25% Series due 2049 (the “Mortgage Bonds”), pursuant to an Underwriting Agreement, dated August 12, 2019, among Westar, Barclays Capital Inc., TD Securities (USA) LLC and U.S. Bancorp Investments, Inc., as representatives of the several underwriters named therein. The Mortgage Bonds were registered under the Securities Act of 1933, as amended, pursuant to the shelf registration statement on Form

S-3

of Westar (the “Registration Statement”).

In connection with the issuance and sale of the Mortgage Bonds, Westar entered into several agreements and other instruments listed in Item 9.01 of this Current Report on Form

and filed as exhibits hereto. These exhibits are incorporated by reference into the Registration Statement.
