Explanation of Responses:

1. Time-based restricted stock units vest in three equal tranches on each of the 1st, 2nd and 3rd anniversaries of the day immediately prior to grant date.

2. The price per share of each restricted stock unit was based on the Issuer's average closing price for the preceding 30 trading days, inclusive of the grant date. The restricted stock units were awarded in an exempt transaction pursuant to Rule 16b-3(d) of the Securities Exchange Act of 1934, as amended.

3. The transactions reported in this Form 4 were effected pursuant to a Rule 10b5-1 plan adopted by the reporting person on December 2, 2022.

4. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $2.78 to $3.01, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth in this footnote.
