Explanation of Responses:

1. The purchase price of the common stock being reported is the closing price per share immediately preceding the entering into of the binding agreement to issue the securities . These shares were purchased by the Reporting Person directly from Issuer.

2. Granted pursuant to the 2021 Stock Incentive Plan. One third (1/3) of the Option will vest at the one-year anniversary of the grant date and the remaining unvested Option will become vested and exercisable 1/24th every month thereafter until the Option is 100% vested which shall occur on the three-year anniversary of the grant date.
