On June 3, 2019, Ranpak Holdings Corp. (formerly known as One Madison Corporation) (the “Company”) consummated the previously announced business combination (the “Ranpak Business Combination”) pursuant to the Stock Purchase Agreement (the “Stock Purchase Agreement”) by and among the Company, Rack Holdings L.P., a Delaware limited partnership (“Seller”), and Rack Holdings, Inc., a Delaware corporation and a direct wholly owned subsidiary of Seller (“Rack Holdings”). The Company, through its wholly owned subsidiary, Ranger Packaging LLC, acquired all of the issued and outstanding equity interests of Rack Holdings from Seller, on the terms and subject to the conditions set forth in the Stock Purchase Agreement. In connection with the consummation of the Ranpak Business Combination, the Company changed its name from “One Madison Corporation” to “Ranpak Holdings Corp.”
As of the open of trading on June 3, 2019, the Class A common stock and warrants of the Company will begin trading on the New York Stock Exchange under the tickers “PACK” and “PACK.WS,” respectively.
