1. Based on Rexnord Corporation's performance during the three-year performance period (April 1, 2018 - March 31, 2021), performance stock units vested.

2. Shares were sold to satisfy tax withholding obligations and related fees in connection with the vesting of restricted stock units and performance stock units.

3. This transaction was executed in multiple trades at prices ranging from $49.72 to $50.71. The price reported above reflects the weighted average sale price. The Reporting Person hereby undertakes to provide upon request to the SEC staff, the Issuer or a security holder of the Issuer full information regarding the number of shares and prices at which the transaction was effectuated.
