1. Shares withheld by Issuer to cover taxes associated with settlement of restricted stock units.

2. Represents shares of Brightcove Inc. common stock sold to cover the tax liabilities of the reporting person related to vesting of restricted stock units ("RSUs") acquired on April 9, 2018 pursuant to a RSU award under the Brightcove Inc. 2012 Stock Incentive Plan. The RSU award was previously reported in Table I of the reporting person's Form 4 on April 10, 2018.
