Explanation of Responses:

1. This PRSU award was eligible to vest based upon the Bank's average three year-performance relative to the Commercial Bank Peer Group for operating return on assets and operating diluted earnings per share growth for the period ending December 31, 2021. Based on the Company's performance through December 31, 2021, the Compensation Committee determined that these awards would vest at 127.67% of target.
