1. This transaction represents a purchase on the open market that qualifies for deferred reporting on Form 5 pursuant to Rule 16a-6, Small acquisitions. Mr. Smith has chosen to voluntarily report this transaction early on this Form 4.

2. The price reported is a weighted average price. The shares reported herein were purchased in multiple transactions. The range of prices for the transactions reported in this line was $6.8459 - $6.95 per share. Mr. Smith undertakes to provide upon request by the Securities and Exchange Commission staff, the Issuer, or any security holder of the Issuer, full information regarding the number of shares purchased at each separate price.

3. 3,125 options have vested. The remaining 1,041 options will vest on September 29, 2020.
