Explanation of Responses:

1. Due to an administrative error, the number of shares reported pursuant to this transaction in the reporting person's original Form 4 was incorrect.

2. The price reported is a weighted average price. These shares were sold in multiple transactions at prices ranging from $0.4021 to $0.4035, inclusive. The reporting person undertakes to provide any security holder of J. C. Penney Company, Inc. or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in the footnote to this Form 4.

3. The reporting person forfeited all of her previously reported restricted stock units as a condition to an award made to the reporting person pursuant to the J. C. Penney Company, Inc. Pre-Paid Compensation Plan (see the Issuer's Current Report on Form 8-K filed on May 12, 2020) and no longer owns any beneficial interest in the Issuer's common stock.
