Explanation of Responses:

1. On January 19, 2021, First Leader Capital Ltd. entered into a stock forfeiture letter with Leader Capital Holdings Corp. (the "Issuer"), pursuant to which First Leader Capital Ltd. agreed to cancel 5,000,000 shares of common stock for the benefit from reducing the Issuer's outstanding common stock to be more in line with what management deems to be market expectations based on the Issuer's current valuation.

2. The securities reported are held by First Leader Capital Ltd. Mr. Lin has sole voting and investment power as the sole owner of such entity. The other reporting persons have indirect ownership based on Mr. Lin's control over such reporting persons.
