Explanation of Responses:

1. Restricted stock units granted under the Hyzon Motors Inc. 2020 Stock Incentive Plan, granted on June 9, 2021 (the "Grant Date"); restricted stock units vest pursuant to a three year vesting schedule, whereby one-fourth of the total number of shares vested on the Grant Date, subject to deferral to September 22, 2021, and each year on the anniversary of the Grant Date, subject to continued employment with the Issuer.

2. Shares of Class A Common Stock were sold in the open market solely to satisfy tax obligations of the Reporting Person in connection with the vesting of the restricted stock units. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $9.664 to $9.735, inclusive. The Reporting Person has provided to the Issuer, and undertakes to provide any security holder of the Issuer or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in footnote 2 to this Form 4.
