2. Each Restricted Stock Unit (RSU) represents a contingent right to receive one share of Hyzon Motors, Inc. Class A Common Stock.

3. Restricted stock units vest 100% on the three-month anniversary of the Grant Date, subject to continued employment with the Issuer.
