Explanation of Responses:

1. The shares of Class B common stock are automatically convertible into the shares of the Issuer's Class A common stock at the time of the Issuer's initial business combination on a one-for-one basis, subject to adjustment pursuant to certain anti-dilution rights, and have no expiration date. The shares of Class B common stock are subject to forfeiture under certain circumstances relating to Ms. Keating's service on the Issuer's Board of Directors.

2. As contemplated by the securities purchase agreement between Riverview Sponsor Partners, LLC (the "Sponsor") and Ms. Keating, dated August 6, 2021, the Sponsor assigned 25,000 shares of Class B common stock to Ms. Keating in connection with Ms. Keating's appointment to the Issuer's Board of Directors.
