Explanation of Responses:

1. The reported transaction involved the Reporting Person's receipt of a grant of 9,000 restricted stock units under Issuer's 2015 Stock Option and Incentive Plan. The Reporting Person has reported prior awards of restricted stock units in Table II of Form 4. The total reported in Column 5 includes the 9,000 newly awarded restricted stock units, and 5,250 previously reported restricted stock units, 1,313 of which vested on March 1, 2020.

2. This option vests with respect to 1/48th of the shares underlying the option on April 1, 2020 and as to an additional 1/48th of the shares underlying the option each month thereafter.
