Explanation of Responses:

1. These shares are owned directly by S&T International Distribution Ltd. ("S&T"), which is a wholly owned subsidiary of Grande N.A.K.S. Ltd., which is a wholly owned subsidiary of The Grande Holdings Limited ("Grande Holdings"). WW, ML and RV directly hold approximately 73.9% in the aggregate of the shares of common stock of Grande Holdings. Mr. Tan is the sole director, and owns all of the outstanding shares of common stock, of WW. ML is wholly owned by AE, AE is wholly owned by OC, and OC is wholly owned by SB. RV is wholly owned by OR, OR is wholly owned by PL, and PL is wholly owned by SB. Mr. Tan is the sole director of each of AE, ML, OR and RV. Ms. He is sole director of OC and PL, and is sole director and sole shareholder of SB. SB holds the shares of OC and PL in trust, and serves as the sole trustee over such shares.

2. Mr. Tan is the settlor and a discretionary beneficiary of the shares of OC and PL held in trust by SB. Each of SB and Ms. He disclaims any pecuniary interest in the shares owned by S&T. The filing of this statement shall not be deemed an admission by any Reporting Person that, for purposes of Section 16 of the Securities Exchange Act of 1934 or otherwise, the Reporting Person is the beneficial owner of equity securities described in this statement as indirectly owned.
