Item 5.07. Submission of Matters to a Vote of Security Holders.
The Company held its Annual Meeting of Stockholders (the “Annual Meeting”) on June 21, 2019, at 10:00 a.m., local time, at iPic Fulton Market, 11 Fulton Street, New York, NY 10038. Of the7,144,133 shares of the Company’s Class A common stock outstanding and 4,323,755 shares of the Company’s Class B common stock outstanding as of the close of business on April 22, 2019, the record date for the Annual Meeting, 6,097,757 shares, or approximately 53% of the total shares eligible to vote at the Annual Meeting, were represented in person or by proxy. One proposal was submitted to the stockholders at the Annual Meeting and is described in detail in the Company’s definitive proxy statement on Schedule 14A, filed with the Securities and Exchange Commission on April 30, 2019. The following is a brief description of the matter voted upon at the Annual Meeting and the number of votes cast for or withheld, as well as the broker non-votes.
Election of Directors. Each of Hamid Hashemi, Andrew Essex, Robert Kirby, Dana Messina and George M. Philip were elected to hold office, subject to the provisions of the Company’s bylaws, until the annual meeting of stockholders of the Company to be held in 2020 and until their respective successors are duly elected and qualified, as follows:
