1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock.

2. These shares were withheld by the Issuer in order to cover tax withholding obligations in connection with the vesting of RSUs.

3. Each share is represented by a Restricted Stock Unit ("RSU"). The RSUs will vest in four equal annual installments beginning on February 15, 2020.

4. The RSUs vest in four equal annual installments beginning on February 15, 2019.

5. The RSUs vest in two equal annual installments beginning on February 15, 2019.
