Explanation of Responses:

1. These securities are held by Amerop Holdings, Inc., a Colorado corporation ("Amerop"). Leonard P. Wessell III is the sole stockholder of Amerop and may be deemed an indirect beneficial owner of securities held by Amerop.

2. Shares held by Series A of White Winston Select Asset Fund Series Fund MP-18, LLC, a series of a limited liability company organized under the laws of the state of Delaware in which Amerop holds membership interests and certain approval rights over the disposition of Issuer shares. The reporting persons disclaim beneficial ownership of such shares, except to the extent of their pecuniary interest therein.
