Explanatory Note
This Form 8-K/A amends the Current Report on Form 8-K dated December 20, 2017, which was filed on December 20, 2017 and assigned SEC Accession No. 0001539497-17-002341 (the “Subject 8-K”). The purpose of this amendment is to (i) make clerical and minor revisions to, the agreement previously filed as Exhibit 4.1 to the Subject 8-K and (ii) file an executed version of the agreement previously filed as Exhibit 4.2 to the Subject 8-K. No other changes are being made to the Subject 8-K.
Accordingly, Exhibit 4.1 of the Subject 8-K, which contained the pooling and servicing agreement, dated as of December 1, 2017, among Banc of America Merrill Lynch Commercial Mortgage Inc., as depositor, Wells Fargo Bank, National Association, as master servicer, Rialto Capital Advisors, LLC, as special servicer, Wells Fargo Bank, National Association, as certificate administrator, Wilmington Trust, National Association, as trustee, and Park Bridge Lender Services LLC, as operating advisor and asset representations reviewer (the “Pooling and Servicing Agreement”), is hereby amended and restated in its entirety by the corrected version of the Pooling and Servicing Agreement attached hereto asExhibit 4.1.
Accordingly, Exhibit 4.2 of the Subject 8-K, which contained the pooling and servicing agreement, dated as of November 1, 2017, among Morgan Stanley Capital I Inc., as depositor, Wells Fargo Bank, National Association, as general master servicer, Midland Loan Services, a Division of PNC Bank, National Association, as general special servicer, National Cooperative Bank, N.A., as NCB master servicer and as NCB special servicer, Wells Fargo Bank, National Association, as certificate administrator, Wilmington Trust, National Association, as trustee, and Park Bridge Lender Services LLC, as operating advisor and as asset representations reviewer (the “BANK 2017-BNK8 PSA”), is hereby amended and restated in its entirety by the executed version of the BANK 2017-BNK8 PSA attached hereto asExhibit 4.2.
