(1) | This Registration Statement covers 3,000,000 shares of the Company’s common stock, par value $0.001 per share (“Common Stock”), that were initially reserved for issuance under the Jamf Holding Corp. Employee Stock Purchase Plan (the “ESPP”), plus an additional 2,600,000 shares of Common Stock that may become available for issuance pursuant to the “evergreen” provisions of the ESPP. Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement shall also cover any additional shares of Common Stock which may become issuable under the ESPP by reason of any stock dividend, stock split, recapitalization or other similar transaction affecting the Common Stock. |
