1. Reflects performance-based restricted stock units previously granted to the Reporting Person, the performance of which was certified on February 22, 2024. Each performance-based restricted stock unit represents a contingent right to receive one share of Common Stock of the Issuer.

2. Reflects shares of Common Stock withheld to cover the Reporting Person's tax liability in connection with the vesting and settlement of the performance-based restricted stock units described herein.

3. Represents the number of shares withheld by the Issuer to cover tax withholding obligations in connection with the vesting of RSUs.
