Entry into a Material Definitive Agreement.
On July 25, 2019, Fuqin Fintech Limited, (the “Company”) entered into an Amendment No. 3 to Underwriting Agreement with Boustead Securities, LLC (the “Underwriter”) to the Underwriting Agreement dated December 10, 2018 in connection with Company’s proposed initial public offering (the “IPO”). Pursuant to the Amendment No. 3 to Underwriting Agreement, the offering period of the IPO has been extended until December 31, 2019.
Concurrently, the Company, the Underwriter and Sutter Securities Clearing, LLC, formerly known as FinTech Clearing, LLC (the “Deposit Account Agent”), entered into an Amended and Restated Offering Deposit Account Agency Agreement to reflect the extension of the offering period of the IPO.
