Explanation of Responses:

1. The reported securities are restricted stock units ("RSUs"), each of which represents a contingent right to receive one share of Common Stock of LiveVox Holdings, Inc.

2. The RSUs will vest, subject to the reporting person's continued service, 25% at 5/5/2023 and 6.25% quarterly thereafter, with full vesting on 5/5/2026.

3. Includes 100,000 Performance Stock Units reported on a Form 4 filed on February 22, 2022, for which the $17.50 VWAP hurdle for the third performance tranche was inadvertently previously reported as $17.00.
