(“AFS SenSub”), as depositor, and AmeriCredit Financial Services, Inc. d/b/a GM Financial (“GM Financial”), as sponsor, have caused a newly formed issuing entity, GM Financial Consumer Automobile Receivables Trust2018-1 (the “Issuing Entity”), to issue $261,000,000Class A-1 1.70000% Asset Backed Notes (the “ClassA-1 Notes”), $364,000,000Class A-2-A 2.08% Asset Backed Notes (the “ClassA-2-A Notes”), $75,000,000Class A-2-B Floating Rate Asset Backed Notes (the “ClassA-2-B Notes” and together with theClass A-2-A Notes, the “ClassA-2 Notes”), $384,000,000Class A-3 2.32% Asset Backed Notes (the “ClassA-3 Notes”), $104,150,000Class A-4 2.46% Asset Backed Notes (the “ClassA-4 Notes”), $20,190,000 Class B 2.57% Asset Backed Notes (the “Class B Notes”), $18,930,000 Class C 2.77% Asset Backed Notes (the “Class C Notes” and together with theClass A-1 Notes, theClass A-2 Notes, theClass A-3 Notes, theClass A-4 Notes and the Class B Notes, the “Publicly Offered Notes”), $15,780,000 Class D 0.00% Asset Backed Notes (the “Class D Notes”), and an Asset Backed Certificate (the “Certificate”), on January 18, 2018 (the “Closing Date”). This Current Report on Form8-K is being filed in connection with the issuance of the Publicly Offered Notes to satisfy an undertaking to file unqualified validity and tax opinions at the time of each takedown from the Registration Statement. Copies of the validity and tax opinions delivered by Katten Muchin Rosenman LLP, counsel to the Registrants, in connection with the issuance of the Publicly Offered Notes are attached hereto as Exhibits 5.1 and 8.1, respectively.
