Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the Issuer's Common Stock. One-half of the award is subject to time-based vesting and one-half of the award is subject to performance-based vesting. For the restricted stock units subject to time-based vesting, one-sixth of the aggregate restricted stock units will vest on each of the first, second and third anniversaries of the day immediately prior to the grant date. For the restricted stock units subject to performance-based vesting, one-half of the aggregate award will vest on the date that is 36 months after the grant date if the performance metric has been achieved. The performance metric will be met If the Issuer's total shareholder return for the 36-month period is at or above the 50th percentile of the total shareholder return among the Issuer's peer group (determined by the Issuer) for the stated period.

2. The restricted common stock units were awarded in an exempt transaction pursuant to Rule 16b-3(d) of the Securities Exchange Act of 1934, as amended.
