1. The restricted stock units ("RSUs") vested on March 8, 2022 and were issued pursuant to the Talos Energy Inc. 2021 Long Term Incentive Plan, which was adopted on March 8, 2021. The RSUs were settled on a one-for-one basis in common stock, par value $0.01 per share (the "Common Stock"), of Talos Energy Inc.

2. Represents shares of Common Stock withheld to satisfy tax withholding obligations upon the vesting of previously granted RSUs.
