This Registration Statement on Form S-8 (this “Registration Statement”) registers 1,059,032 additional shares of common stock, par value $0.001 per share (“Common Stock”) of Rain Therapeutics Inc. (the “Registrant”) to be issued pursuant to the Rain Therapeutics Inc. 2021 Equity Incentive Plan and 264,758 additional shares of Common Stock to be issued pursuant to the Rain Therapeutics Inc. 2021 Employee Stock Purchase Plan.
