Explanation of Responses:

1. 4,363 shares of common stock of the Issuer ("Common Stock") that are issuable pursuant to restricted stock units ("RSUs"), granted on May 3, 2024, that vest as to 25% of the RSU on the last day of each three-month period commencing on the date of grant.

2. Includes (i) 17,821 shares of Common Stock; (ii) shares of Common Stock issuable pursuant to RSUs, granted on May 15, 2023, of which 1,046 shares vest on May 15, 2024; and (iii) 4,363 shares of Common Stock issuable pursuant to RSUs, granted on May 3, 2024, that vest as to 25% of the RSU on the last day of each three-month period commencing on the date of grant, the settlement of which the Reporting Person has elected to defer in accordance with the Dayforce, Inc. Non-Employee Director Deferral Program.

3. These options are fully vested and exercisable.
