| Amendment Description | This Amendment No. 1 on Form 10-K/A (this “Amendment”) amends the Annual Report on Form 10-K of Digital Media Solutions, Inc. (the “Company”) for the fiscal year ended December 31, 2023, which was originally filed with the Securities and Exchange Commission on April 18, 2024 (the “Original Filing”). This Amendment is being filed to include the disclosure required in Part III, Items 10, 11, 12, 13 and 14, because our proxy statement will not be filed within 120 days of the end of the 2023 fiscal year. As required by Rule 12b-15 under the Securities Exchange Act of 1934, as amended, in connection with this Form 10-K, our Chief Executive Officer and Chief Financial Officer are providing Rule 13a-14(a) certifications as included herein.
