Item 8.01. Other Events.
On April 26, 2022, Zentalis Pharmaceuticals, Inc. (the “Company”) entered into a securities purchase agreement (the “Securities Purchase Agreement”) with Pfizer Inc. (NYSE: PFE) pursuant to which the Company has agreed to sell, and Pfizer Inc. has agreed to purchase, 953,834 shares of the Company’s common stock, $0.001 par value per share, at a price of $26.21 per share, for gross proceeds of approximately $25.0 million (the “Transaction”). The shares were offered and sold in a registered direct offering conducted without an underwriter or placement agent and pursuant to an effective shelf registration statement on Form S-3 (Registration No. 333-255769), and a related prospectus supplement relating to the offer and sale of the shares in the Transaction will be filed with the Securities Exchange Commission. The offering is expected to close on or about April 29, 2022, subject to customary closing conditions. A copy of the press release announcing the Transaction is furnished as Exhibit 99.1 to this Current Report on Form 8-K (the “Current Report”).
The Company intends to use the net proceeds of the offering to help fund ongoing and planned clinical trials, including studies of ZN-c3, its Wee1 inhibitor and ZN-d5, its BCL-2 inhibitor, and for working capital and general corporate purposes. With prioritization of the clinical development of ZN-c3, and ZN-d5, budget reallocation and Pfizer Inc.’s investment, the Company believes its existing cash, cash equivalents and marketable securities will be sufficient to fund its operating expenses and capital expenditures requirements into the first quarter of 2024.
