Remarks:

Note that the Reporting Person was issued unvested shares; the Reporting Person acquires a vested interest in, and ShiftPixy, Inc.'s repurchase right shall accordingly lapse with respect to: (i) 50% of the shares (i.e., 13,158 shares) upon Reporting Person's completion of six months of service under the Director Agreement to March 28, 2018, and (ii) the remaining 50% of the shares (i.e., 13,158 shares) upon Reporting Person's completion of service under the Director Agreement to September 28, 2018.
