Explanation of Responses:

1. A new grant of 6,600 shares of common stock represented by time-based restricted stock units. The shares vest evenly at each anniversary of the grant date (12/31/2022, 12/31/2023, and 12/31/2024) as long as Mr. Lovoi is still employed with Epsilon at each applicable vesting date. Otherwise, the Restricted Stock Grant will be forfeited.
