Explanation of Responses:

1. Conveyed to the Company 44,686 shares of the Company's common stock acquired by the reporting person in a private transaction on October 19, 2020, in an exempt transaction pursuant to Section 16b-3(e), in full payment of the exercise price of 100,000 ISO's granted to the reporting person on February 12, 2018.

2. 100,000 of these options were granted to Mr. Beaty on February 12, 2018, and were disclosed on his Form 3 filed February 26, 2018.

3. Options granted to Mr. Beaty under the Company's Incentive Stock Option Plan.
