(the "Issuer") granted upon settlement of previously awarded performance stock units, which were settled based on the Issuer's level of achievement with respect to a performance goal based on total shareholder return relative to the Issuer's peer group over the three-year performance period beginning January 1, 2019 and ended December 31, 2021 (the "PSUs").

2. Reflects shares of Common Stock withheld to satisfy taxes payable in connection with the vesting and settlement of the PSUs.
