Explanation of Responses:

1. The filing amends the prior Form 4 to report these transactions that were inadvertently omitted and restates the holding reflected in column 5 of Table 1 included in the prior Form 4.

2. Withholding of shares of common stock to satisfy tax withholding obligations in connection with the vesting of previously awarded shares of restricted stock pursuant to a grant under the Issuer's 2013 Equity Incentive Plan.

3. The reporting person acquired the shares pursuant to a grant under the Issuer's 2013 Equity Incentive Plan. Such shares vest in three (3) equal annual installments on the anniversary of the date of grant, subject to forfeiture upon the occurrence of certain events specified in the agreement underlying such grant.

4. All shares of the Issuer's common stock acquired by the reporting person under the Independent Bank 401(K) Profit Sharing Plan have been transferred out. The information is based on a plan statement dated as of 12-31-2020.
