underwriters may facilitate internet distribution for this offering to certain of their respective internet subscription customers. In addition, certain of the underwriters may allocate shares for sale to their respective online brokerage customers. Other Relationships
As described under “Use of Proceeds,” we will contribute the net proceeds from this offering to our operating partnership in exchange for OP Units, and we expect our operating partnership to use a portion of the net proceeds received from us to voluntarily prepay, without prepayment penalty, approximately $62.0 million of our outstanding Class A Series2017-1 ABS Notes and to repay outstanding borrowings under our revolving credit facility. Stifel, Nicolaus & Company, Incorporated may pay an unaffiliated entity or its affiliate, who is also a lender under our revolving credit facility, a fee in connection with this offering.
Affiliates of the underwriters participating in this offering are lenders under our revolving credit facility. As a result, to the extent our operating partnership uses a portion of the net proceeds received from us to repay outstanding borrowings under our revolving credit facility, affiliates of the underwriters will receive proceeds from this offering through the repayment of that indebtedness. Certain of the underwriters and/or their affiliates may also hold positions in our outstanding Class A Series2017-1 ABS Notes. Consequently, these underwriters and/or their affiliates may receive a portion of the net proceeds of this offering that are used to voluntarily prepay the Class A Series2017-1 ABS Notes. For additional information, see “Use of Proceeds” above.
In addition to the matters discussed above, the underwriters and their respective affiliates are full service financial institutions engaged in various activities, which may include sales and trading, commercial and investment banking, advisory, investment management, investment research, principal investment, hedging, market making, brokerage and other financial andnon-financial activities and services. Certain of the underwriters and their respective affiliates have provided, and may in the future provide, a variety of these services to us and to persons and entities with relationships with us, for which they received or will receive customary fees and expenses.
In the ordinary course of their various business activities, the underwriters and their respective affiliates, officers, directors and employees may purchase, sell or hold a broad array of investments and actively trade securities, derivatives, loans, commodities, currencies, credit default swaps and other financial instruments for their own account and for the accounts of their customers, and such investment and trading activities may involve or relate to assets, securities and/or instruments of the issuer (directly, as collateral securing other obligations or otherwise) and/or persons and entities with relationships with the issuer. The underwriters and their respective affiliates may also communicate independent investment recommendations, market color or trading ideas and/or publish or express independent research views in respect of such assets, securities or instruments and may at any time hold, or recommend to clients that they should acquire, long and/or short positions in such assets, securities and instruments.
Selling Restrictions
No action has been taken in any jurisdiction (except in the United States) that would permit a public offering of the shares of common stock, or the possession, circulation or distribution of this prospectus supplement and the accompanying prospectus or any other material relating to us or the shares, where action for that purpose is required. Accordingly, the shares may not be offered or sold, directly or indirectly, and none of this prospectus supplement, the accompanying prospectus or any other offering material or advertisements in connection with the shares may be distributed or published, in or from any country or jurisdiction except in compliance with any applicable rules and regulations of any such country or jurisdiction. Each of the underwriters may arrange to sell the shares offered hereby in certain jurisdictions outside the United States, either directly or through affiliates, where it is permitted to do so.
