Item 1.01. Entry into a Material Definitive Agreement.
On February 18, 2022, Essential Properties Realty Trust, Inc., a Maryland corporation (the “Company”), and Essential Properties, L.P., the Company’s operating partnership and a Delaware limited partnership (the “Operating Partnership”), entered into an amendment (the “First Amendment”) to a credit agreement dated November 26, 2019, among the Company, the Operating Partnership, Capital One, National Association, as Administrative Agent, and the lenders party thereto (the “Credit Agreement”), relating to its $430.0 million term loan with an original maturity date of November 26, 2026 (the “Capital One Term Loan”). The First Amendment, among other things, reduced the Applicable Margin, as defined, extended the maturity of the Capital One Term Loan to February 18, 2027 and made certain other changes consistent with market terms and conditions. The Capital One Term Loan initially bears interest at an annual rate of applicable Adjusted Term SOFR plus an Applicable Margin. A copy of the First Amendment is attached hereto as Exhibit 10.1 and incorporated herein by reference.
