Explanation of Responses:

1. Represents the vesting of restricted stock units that vest subject to the satisfaction of certain 3-year performance criteria. The criteria for these shares has been met.

2. Restricted stock units convert into common stock on a one-for-one basis.

3. Shares otherwise issuable were withheld to satisfy the Reporting Person's tax obligations arising from the vesting events described in footnotes (1), (4) and (5) to this Form 4.

4. On January 22, 2021, the reporting person was granted 1,092 restricted stock units, vesting in three equal installments beginning on January 22, 2022.

5. On January 21, 2022, the reporting person was granted 940 restricted stock units, vesting in three equal installments beginning on January 21, 2023.

6. Grant of restricted stock units that vest in three equal annual installments beginning on January 20, 2024, the first anniversary of the date of the award.
