Explanation of Responses:

1. These shares of common stock include 42,139 shares of restricted stock, 25% of which vested upon completion of the initial public offering of Charah Solutions, Inc. (the "Issuer"). The remaining 75% of the restricted shares will vest, upon achieving certain performance goals set forth in the reporting person's restricted stock agreement, in three pro rata installments on December 31, 2018, December 31 2019 and December 31, 2020.
