1. The Reporting Person received an Option to purchase Common Stock from the Issuer pursuant to the Issuer's 2018 Equity Incentive Plan. The Option Grants will become vested and become exercisable at a rate of one-thirty sixth (1/36) of the shares underlying the Option per month, but will vest 100% upon a change of control transaction.
