Item 2.02 Results of Operations and Financial Condition.
On May 9, 2023, Nikola Corporation (the “Company”) issued a press release announcing its results of operations for its fiscal quarter ended March 31, 2023. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated into this Item 2.02 by reference.

Item 8.01 Other Events.
On May 8, 2023, the Company issued a press release announcing the termination of its joint venture with Iveco Group (“Iveco”). The Company will sell its 50% capital share in Nikola Iveco Europe GmbH to Iveco for $35.0 million and delivery of 20.6 million shares of the Company’s common stock from Iveco to the Company. Delivery of the common stock is contingent on successful software due diligence that meets mutually established objective criteria as agreed to by the parties, and termination of the joint venture is subject to execution of definitive documentation by the parties.
