On October 9, 2020, LMP Long Island 001 Holdings, LLC, a Delaware limited liability corporation, a subsidiary of LMP Automotive Holdings, Inc., a Delaware corporation, entered into a membership interest purchase agreement (the “MIPA”) with John Staluppi (the “Seller”), to acquire a 70% interest in Atlantic Automotive Group and its subsidiaries (collectively, “AAG”) in exchange for an aggregate purchase price of $425,600,000. AAG owns and operates 19 franchised dealerships that offer new and used vehicles, vehicle financing services, warranties and insurance contracts, parts sales, automotive repair and maintenance services in the New York area. The closing of the acquisition is subject to certain customary conditions and manufacturer approvals.
The MIPA is attached to this Current Report on Form 8-K as Exhibit 10.1, and is incorporated herein by reference. The foregoing description of the MIPA and the transactions contemplated thereby is not complete and is qualified in its entirety by the contents of the MIPA.
